1. Introduction

Welcome to NokNok, a video-first property discovery platform designed to help users discover, explore, market, and engage with residential and commercial properties through short-form video, image galleries, map tools, and token-based unlock features. These Terms of Use form a legally binding agreement between you and Noknok Technologies, trading as NokNok / Shulox, and apply to our mobile applications, website, related domains, APIs, digital tools, communications, and associated services.

By accessing or using any part of the platform, you acknowledge that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the platform.

2. Acceptance of Terms

These Terms apply to all users of the platform, including property seekers, agents, landlords, managers, developers, guest users, and business users. If you use NokNok on behalf of a business or other entity, you confirm that you are authorized to bind that entity to these Terms. Continued use of the platform after updates to these Terms constitutes acceptance of the revised Terms.

3. Description of Service

NokNok provides a digital marketplace and discovery experience for property content, including video walkthroughs, image galleries, property descriptions, search and filtering tools, map-based discovery, token-based access to premium information, wallet features, mobile payments, listing management tools, promotion features, and related communications and moderation tools.

Unless expressly stated otherwise in writing, NokNok does not act as a landlord, seller, buyer, broker of record, advocate, surveyor, valuer, escrow provider, or transaction custodian.

4. Eligibility and Account Registration

You must be at least 18 years old, or the age of majority in your jurisdiction, and legally capable of entering into a binding contract. You agree to provide accurate, current, and complete account information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity under your account.

NokNok may refuse registration, suspend access, or terminate accounts that use false information, impersonate others, create unauthorized multiple accounts, or otherwise violate these Terms.

5. User Roles and Platform Context

NokNok supports multiple user roles, including tenants, buyers, agents, brokers, landlords, property managers, developers, guest users, and platform administrators. Features and levels of access may vary by account role, verification status, or feature availability.

6. Property Listings and User Content

If you upload listings, descriptions, photos, videos, documents, or other content, you are solely responsible for that material and represent that it is accurate, lawful, non-infringing, and not misleading. You retain ownership of your content, but you grant NokNok a broad license to host, display, distribute, adapt, and use it as needed to operate, promote, and improve the platform.

7. Accuracy and Availability of Listings

NokNok does not guarantee that listings are accurate, complete, current, or available. Information such as location, price, media, amenities, or ownership authority may be outdated, incorrect, or misleading. Users must independently verify all listing information before making decisions or financial commitments.

8. Property Transaction Caution

NokNok helps users discover properties and connect with other users, but NokNok is not a party to any rental, sale, or other property transaction. Users must perform independent due diligence, inspect properties, verify identity and authority, review ownership and legal status, and obtain professional legal or financial advice where appropriate.

9. Map and Location Data

NokNok may use manually entered listing locations, device location data with permission, IP-derived regional location, and third-party mapping services to power map views, nearby search, and directions. Location tools are provided for convenience only and may be inaccurate, approximate, delayed, or dependent on third-party services.

10. Media Uploads, Moderation, and Content Review

Users may upload photos, videos, and related media, but all uploaded content must comply with law, these Terms, and NokNok moderation rules. NokNok may review, reject, remove, disable, or report media that appears unlawful, harmful, infringing, misleading, abusive, or otherwise prohibited.

11. Agent Documents and Listing-Related Documents

Authorized agents or managers may be allowed to upload listing-related documents or professional credentials. Users are responsible for ensuring that such documents are lawful, accurate, and appropriately redacted where necessary. NokNok may limit document visibility, remove documents, or restrict access where needed for policy, privacy, or compliance reasons.

12. Tokens, Wallet, and Unlock Features

NokNok uses a platform-specific token system that allows access to certain premium features and listing details. Tokens are not cryptocurrency, e-money, or cash equivalents. Users may hold token balances in an in-app wallet and spend tokens to unlock listing information or platform features subject to rules communicated within the platform.

13. Token Purchases

Users may purchase tokens through supported payment methods, including mobile money and other providers offered by the platform. Prices, bundles, and availability may change over time. Token purchases are generally final once successfully credited, except where refunds are expressly allowed by these Terms or required by law.

14. Unlock Purchases

When you unlock listing details or premium features, the specified number of tokens is deducted from your wallet. Unlock access may be limited by time, feature, or listing context. NokNok may deny or reverse unlock access where fraud, error, duplicate credit, or policy violations are reasonably suspected.

15. Boosts, Paid Promotion, and Visibility Tools

NokNok may offer paid promotion tools such as listing boosts or featured placement. These tools are intended to increase visibility, but NokNok does not guarantee leads, views, rentals, sales, or any particular commercial outcome. Promotion pricing, duration, and eligibility may change at NokNok’s discretion.

16. Pricing, Consumer Fairness, and Commercial Clarity

NokNok aims to present clear pricing for tokens and paid features. Payment providers may still apply their own fees. Users must not manipulate pricing, exploit technical bugs, or engage in deceptive purchase behavior. NokNok may correct pricing errors in good faith and take reasonable steps to resolve resulting issues.

17. Refunds, Reversals, and Payment Disputes

Token purchases, unlocks, and paid promotion purchases are generally non-refundable once value has been delivered, except where NokNok chooses to issue a correction or refund due to duplicate charges, technical failures, failed credit after confirmed payment, verified unauthorized payments, legal obligations, or similar fairness-based circumstances.

18. Prohibited Conduct

Users must not impersonate others, create fraudulent accounts, post fake or unauthorized listings, upload unlawful or infringing content, scrape or reverse engineer the platform, interfere with platform operations, misuse payment systems, harass other users, spam, or use the platform for illegal or abusive activity. NokNok may investigate violations and take enforcement action at its sole discretion.

19. Fraud Prevention and Security Controls

NokNok may use verification processes, device and session risk checks, transaction monitoring, rate limiting, content review, abuse detection, fraud prevention tools, and other security controls to protect users and the platform. These measures may occasionally create temporary friction or access restrictions for legitimate users.

20. Reports, Complaints, and Investigations

NokNok provides reporting tools and support channels for complaints about listings, users, content, payments, fraud, abuse, or platform misconduct. NokNok may investigate reports, request supporting evidence, preserve records, remove content, restrict features, suspend accounts, or refer matters to authorities when appropriate.

21. Data Protection and Privacy

Your use of NokNok is also governed by the Privacy Policy available at https://shulox.com/privacy/. NokNok may collect account data, listing data, usage data, device data, payment records, communications, location data, uploaded media, and related information as described in the Privacy Policy.

22. Data Rights and Kenya-Focused Privacy Context

NokNok seeks to comply with applicable data protection laws, including the Kenya Data Protection Act, 2019 where relevant. Depending on applicable law, users may have rights to access, correct, delete, restrict, or object to certain processing of their data, subject to legal and operational limitations.

23. Intellectual Property

The NokNok platform, branding, interface, software, code, layout, databases, and related materials are owned by NokNok or its licensors and protected by intellectual property laws. Users receive only a limited, revocable license to access and use the platform in accordance with these Terms. User-generated content remains owned by the user, subject to the license granted to NokNok.

24. Third-Party Services and Links

NokNok may link to or rely on third-party services such as payment gateways, mapping services, authentication providers, hosting providers, analytics tools, CDNs, app stores, and communications tools. NokNok does not control these services and is not responsible for their availability, performance, policies, or content.

25. Availability, Reliability, and Changes to the Platform

NokNok may modify, suspend, discontinue, restrict, or update features, pricing, systems, workflows, interfaces, or geographic availability at any time. The platform may experience downtime, bugs, payment issues, notification issues, compatibility issues, or dependence on third-party services. NokNok does not guarantee uninterrupted access.

26. No Professional, Legal, or Brokerage Advice

Information provided on NokNok is for general informational and marketplace purposes only. It is not legal advice, financial advice, valuation advice, surveying advice, brokerage advice, or any other professional advice. Users must obtain independent advice and conduct their own due diligence before entering into property-related decisions or transactions.

27. Disclaimers

The platform and all services, content, and features are provided on an “as is” and “as available” basis. NokNok disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, reliability, currentness, uninterrupted availability, and any implied warranties arising by law to the fullest extent permitted.

NokNok does not warrant that listings are real, available, accurate, lawful, or free from fraud, that wallet balances or token flows will be error-free, that uploaded documents are valid or enforceable, or that users will obtain housing, leads, bookings, sales, or any particular result from the platform.

28. Limitation of Liability

To the maximum extent permitted by law, NokNok and its affiliates, officers, employees, agents, licensors, and service providers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, use, or other intangible losses arising from use of the platform, interactions between users, listing inaccuracies, transactions, interruptions, security events, or third-party conduct.

To the extent liability cannot be excluded, NokNok’s total aggregate liability will not exceed the greater of the amounts paid by you to NokNok in the 3 months preceding the relevant claim or KES 10,000, except where law does not permit such limitation.

29. Indemnity

You agree to indemnify, defend, and hold harmless NokNok and its related parties from claims, losses, liabilities, damages, costs, penalties, and expenses arising from your use of the platform, your content, your breach of these Terms, your unlawful activity, your infringement of third-party rights, or your disputes with other users.

30. Record Keeping and Evidence

NokNok may maintain transaction logs, moderation records, payment records, wallet history, server logs, activity history, and related digital records. To the extent permitted by law, these records may be used as evidence of platform events, account activity, transactions, or investigations.

31. Complaints and Internal Resolution

If you have a complaint about the platform, a listing, a payment, an account restriction, a moderation decision, or another issue, you should first contact NokNok support through the available support channels and provide sufficient details for review. NokNok will make a good-faith effort to review and address complaints internally.

32. Governing Law and Jurisdiction

These Terms and your use of NokNok are governed by the laws of the Republic of Kenya. Disputes arising out of or relating to these Terms or the platform are subject to the jurisdiction of the competent courts in Nairobi, Kenya, unless otherwise required by applicable law.

33. Changes to These Terms

NokNok may modify these Terms at any time to reflect legal, commercial, platform, or operational changes. When material updates are made, NokNok may update the last updated date, post an in-platform notice, send an email, or use another reasonable form of notice. Continued use after changes take effect constitutes acceptance of the revised Terms.

35. Severability and Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force to the extent permitted by law. These Terms, together with the Privacy Policy and any other policies or notices expressly incorporated by reference, constitute the entire agreement between you and NokNok regarding your use of the platform.
